Once you decide an Opportunity Zone fits, the next question is where the money goes: a captive Opportunity Zone fund you own, or a fund a sponsor runs. Both are Qualified Opportunity Funds. They work very differently.
What a captive Opportunity Zone fund is
A captive fund is a Qualified Opportunity Fund you own and control. You form it, invest your gain within 180 days, and it self-certifies on Form 8996. There is no IRS approval. As Ashley puts it:
“You are opening your own bank account that you own and control. So you are moving literally money from left pocket to right pocket.”
Ashley Tison
Most captive setups use two entities: the fund, and an OZ business (QOZB) under it that owns the property or runs the company. See how to set up your own fund.
Captive vs sponsored, side by side
| Captive fund (your own) | Sponsor’s fund | |
|---|---|---|
| Who picks the deal | You | The sponsor |
| Who decides when to sell | You | The sponsor |
| Fund compliance (Form 8996, 90% tests) | You, or a firm you hire | The sponsor |
| Your yearly filing | Form 8997 | Form 8997 |
| Minimum investment | None in the law | Set by the sponsor |
| Costs | Formation and yearly compliance | The sponsor’s fees, set in the offering documents |
| Best fit | You have a project, a business, or a large gain | You want a hands-off investment |
When a captive Opportunity Zone fund fits
- You already own a property, a project, or a business in a zone, or plan to start one.
- You want to control the deal, the timing, and the exit at year ten.
- The gain is large enough to carry ten years of compliance work, or the business has room to grow a lot.
When a sponsor’s fund fits
- You want the tax benefit without running anything.
- You are comfortable with someone else’s deal, timeline, and fees.
- Your gain meets the sponsor’s minimum.
Questions to ask any sponsor
- What are all the fees: management, acquisition, and any share of the profits?
- Who runs the 90% tests and files Form 8996, and will you see the results?
- What is the plan for year ten, and who decides when to sell?
- How are distributions handled, and could any trigger tax before year ten?
- What happens if the project runs late or over budget?
- What will you send me each year for my Form 8997 and the new reporting rules?
Captive Opportunity Zone fund FAQ
Does the IRS approve a captive Opportunity Zone fund?
No. A fund certifies itself by filing Form 8996 with its return, starting with its first year.
Do I still file anything if I invest in a sponsor’s fund?
Yes. Every investor files Form 8997 every year they hold a fund investment.
Can someone run my captive fund for me?
Yes. You can own the fund and hire a team to keep it compliant. OZPros does this with Bespoke Captive Fund Management and fund setup and Compliance.
