If you already have a deferred gain
Every gain deferred under the original program is recognized on December 31, 2026, no matter when you invested (IRC §1400Z-2(b)(1)). It goes on your 2026 return, due in April 2027. The state map deadlines moved this fall. The recognition date did not. As Ashley puts it, "The map got more time. Your tax bill did not."
- Find your number. The taxable amount is the lesser of the gain you deferred or the fair market value of your fund interest on December 31, minus your basis. If you invested by December 31, 2021, you earned a 10% basis increase. By December 31, 2019, 15%.
- Plan the cash. The fund usually does not pay the tax for you. Ask your fund manager now whether a distribution is coming.
- Ask about offsets. Cost segregation, solar credits, and bonus depreciation can soften the bill. A valuation discount can lower the fair market value, but the rules add back allocated debt and losses, so it is not the sure thing it sounds like. In Ashley's words, sometimes the juice ain't worth the squeeze. Run the numbers before you pay for an appraisal.
- Keep holding. Paying the deferred tax does not end your ten-year clock. The growth can still come out free of federal capital gains tax after ten years.
If you have a project in an original zone
The original zones stay designated through December 31, 2028 (December 31, 2027 in Puerto Rico), but Notice 2026-40 says the IRS intends to propose rules that draw a hard line for new money. Money invested after 2026 generally cannot go into new property in an original zone that is not on the new map unless the business already had a written working capital safe harbor plan by December 31, 2026.
- Get the plan in writing. A dated plan and schedule for how the capital will be spent, adopted by the QOZB before year-end.
- Fund it. At least 10% of the planned working capital has to be received by the business by December 31, 2026.
- Spend or commit 5%. Under contract counts.
Ashley boils it down to one line: "Get the plan written, get the money in, get the contract signed."
Ashley's rule of thumb from his own deals: the plan can protect roughly ten times what you put in, so a $1.5 million loan can protect a $15 million plan. Check the OZ 2.0 map first. If your tract made the new map, this deadline matters much less.
These rules come from IRS Notice 2026-40, which describes regulations the IRS plans to propose. Confirm the current status with your advisor before acting.
If you have a 2026 gain and have not invested yet
The date of your sale decides your options.
- Sold on or after July 9, 2026: your 180-day window reaches January 4, 2027, the first banking day of the year. You can wait and invest under OZ 2.0 for a fresh five-year deferral, a 10% step-up at year five (30% in a qualified rural fund), and the ten-year benefit. See What is OZ 2.0?
- Sold July 6 to 8, 2026: a close call. Day 180 lands on a holiday or weekend, and the IRS has not said whether the usual next-business-day rule applies. Get advice in writing before you count on a January wire. See Can a 2026 gain use OZ 2.0?
- Sold July 5, 2026 or earlier: your window closes in 2026, so the investment follows the original rules. The deferral is short, since the gain comes due December 31, 2026, but the ten-year tax-free growth still applies. That is why the so-called dead zone is mostly a myth.
- Partnership or S corporation gains: your 180 days may start later, on the partnership's year-end or its return due date. That can push a 2026 gain into 2027 on its own. See the 180-day rule.
If you need a fund set up before year-end
Entity filings, EINs, and bank accounts take time, and every state slows down in December. Our cutoff for new year-end fund setups is December 4. Expedited setups run through December 11, and we do not start new formations after December 18. After that, a shelf fund is the fastest route: a pre-formed QOF with its EIN and bank account ready, so you can execute, pay, and wire before your window closes.
If your window closes in the last two weeks of December, call early. A 15-minute call is enough to tell you which path you are on.
The checklist
- Confirm the date of each 2026 gain and count 180 days.
- If you hold an original investment, estimate the December 31 tax and set the cash aside.
- If you have a project in an original zone, adopt the written plan and hit the 10% and 5% marks.
- Look up every address on the OZ 2.0 map.
- Make sure Form 8997 has been filed for every year you have held.
- Book the Blueprint if you want all of this in writing for your situation.
"The one thing none of us can get back is time. Don't let it get away from you."
